                                                                                                          CHAPTER I

PRELIMINARY

1. Short Title

This Policy shall be called the "ILado Women Foundation Membership Policy, 2026."

2. Legal Status

ILado Women Foundation ("the Foundation") is a company licensed under Section 8 of the Companies Act, 2013, established exclusively for charitable, social, educational, humanitarian and public welfare purposes.

The Foundation functions on a Not-for-Profit basis and applies its income and property solely towards the promotion of its objects in accordance with applicable law.

3. Authority

This Policy is framed under:

a) The Companies Act, 2013 and the Rules made thereunder;

b) The Memorandum of Association (MOA);

c) The Articles of Association (AOA);

d) Resolutions passed by the Board of Directors;

e) Other applicable laws, rules and governmental guidelines.

4. Commencement

This Policy shall come into force from the date of approval by the Board of Directors and shall remain effective until amended, modified or withdrawn by the Board.

5. Objectives

The objectives of this Policy are:

a. To establish a transparent system for admission of members.

b. To regulate membership contributions.

c. To define the rights and obligations of members.

d. To ensure proper governance and accountability.

e. To maintain accurate membership records.

f. To protect the Foundation against misuse of membership.

g. To ensure that membership contributions are utilised only for charitable and administrative purposes permitted by law.

CHAPTER II

DEFINITIONS

Unless the context otherwise requires—

"Act"

Means the Companies Act, 2013 together with all amendments, rules and notifications.

"Foundation"

Means ILado Women Foundation.

"Board"

Means the Board of Directors of ILado Women Foundation.

"Director"

Means a Director appointed under the provisions of the Companies Act, 2013.

"Member"

Means a person whose membership application has been duly approved by the Foundation.

"Applicant"

Means a person who has applied for membership.

"Membership Contribution"

Means the voluntary, non-refundable amount prescribed by the Foundation for obtaining membership.

"Membership Register"

Means the register maintained by the Foundation containing details of all approved members.

"Membership Certificate"

Means the certificate issued by the Foundation after approval of membership.

"Authorised Officer"

Means any Director or officer authorised by the Board to perform functions under this Policy.

CHAPTER III

ELIGIBILITY

6. Eligibility Criteria

Any person may apply for membership if he/she:

a. Supports the charitable objectives of the Foundation;

b. Agrees to comply with the MOA, AOA and all policies of the Foundation;

c. Submits the prescribed application form;

d. Pays the applicable Membership Contribution;

e. Is not involved in activities detrimental to the Foundation or contrary to law.

7. Disqualification

The Foundation may reject or refuse membership where the applicant:

a. Provides false information;

b. Uses forged documents;

c. Has previously misused the Foundation's name, logo, funds or property;

d. Has been removed from membership for serious misconduct;

e. Is found to have acted in a manner prejudicial to the objectives or reputation of the Foundation.

The decision of the Foundation shall be taken in good faith and in accordance with applicable law.

CHAPTER IV

MEMBERSHIP CATEGORIES

8. Membership Categories

The Foundation hereby establishes the following categories:

General Member          |    ₹599

Silver Member              |    ₹1,100

Gold Member                |   ₹2,100

Platinum Member          |   ₹5,100

The Board may revise the above categories through a duly passed Board Resolution.

9. Nature of Membership

·         Membership is voluntary.

·         Membership is personal and non-transferable.

·         Membership shall not create any ownership, partnership, employment or proprietary interest in the Foundation.

·         Membership shall not entitle the member to receive any dividend, profit or financial return from the Foundation.

·         No member shall claim any right over the assets or income of the Foundation solely by virtue of membership.

10. Membership Contribution

·         The Membership Contribution shall be treated as a voluntary contribution towards the charitable objects and lawful administration of the Foundation.

·         Such contribution shall be non-refundable, except where the Board approves a refund solely on account of a proven duplicate payment or clerical/administrative error.

·         Every contribution shall be acknowledged by an official receipt issued by the Foundation.

·         No person is authorised to collect membership contributions in any personal bank account or wallet. All payments shall be made only through the Foundation's officially authorised collection channels.

PART – II

CHAPTER V

                                    ADMISSION OF MEMBERS

11. Submission of Application

Every applicant shall submit:

a. Duly filled Membership Application Form;

b. Proof of Identity, if required by the Foundation;

c. Address details;

d. Mobile Number and Email ID (where available);

e. Membership Contribution.

Submission of an application shall not automatically create membership.

12. Verification

The Foundation may verify:

-       Identity of the applicant;

-       Contact details;

-       Documents submitted;

-       Payment details;

-       Any other information considered necessary.

The Foundation may seek additional information whenever required.

13. Approval of Membership

Membership shall become effective only after:

a. Verification of the application;

b. Approval by the Competent Authority authorised by the Board;

c. Entry of the applicant's name in the Membership Register.

The Foundation may reject any application if it is inconsistent with its objects, policies or applicable law.

14. Membership Certificate

Upon approval, the Foundation may issue:

-       Membership ID;

-       Membership Certificate;

-       Digital Membership Card or Physical Membership Card, as decided by the Foundation.

Failure to issue a Membership Card shall not invalidate an otherwise approved membership.

CHAPTER VI

RIGHTS OF MEMBERS

15. Members shall be entitled to:

a. Participate in programmes organised by the Foundation.

b. Volunteer for charitable activities.

c. Receive information regarding Foundation programmes.

d. Attend awareness meetings and training sessions, wherever applicable.

e. Receive Membership Certificate where issued.

16. No Automatic Financial Rights

Membership shall not automatically entitle any member to:

-       Salary;

-       Employment;

-       Financial Assistance;

-       Medical Reimbursement;

-       Insurance;

-       Scholarship;

-       Loan;

-       Pension;

-       Profit Sharing;

-       Compensation.

All assistance provided by the Foundation shall always remain subject to:

-       availability of funds;

-       eligibility criteria;

-       verification;

-       Board-approved policy; and

-       approval by the Competent Authority.

CHAPTER VII

DUTIES OF MEMBERS

17. Every Member shall:

a. Maintain honesty and integrity.

b. Respect women, children and vulnerable persons.

c. Follow all policies of the Foundation.

d. Protect the reputation of the Foundation.

e. Maintain confidentiality where required.

f. Cooperate during enquiries conducted by the Foundation.

g. Inform the Foundation about any change in address or contact details.

18. Prohibited Conduct

No Member shall:

a. Collect money in the name of the Foundation without written authority.

b. Open any bank account in the Foundation's name.

c. Issue receipts without authorisation.

d. Use the logo, letterhead or seal without permission.

e. Make false promises regarding financial assistance.

f. Engage in fraud, corruption, bribery or misappropriation.

g. Use the Foundation for political, communal or unlawful purposes.

CHAPTER VIII

SUSPENSION OF MEMBERSHIP

19. Grounds for Suspension

The Foundation may suspend membership where the member:

a. Violates this Policy;

b. Misuses the Foundation's name or property;

c. Acts against the interests of the Foundation;

d. Commits financial irregularities;

e. Engages in conduct prejudicial to the reputation of the Foundation.

20. Procedure

Before suspension, the Foundation may:

- issue a written notice;

- provide reasonable opportunity to explain;

- examine available evidence; and

- pass a reasoned decision.

In urgent cases involving fraud, financial loss or serious misconduct, the Foundation may place a member under immediate temporary suspension pending inquiry.

CHAPTER IX

TERMINATION OF MEMBERSHIP

21. Membership may be terminated if:

a. Membership was obtained by fraud;

b. False documents were submitted;

c. Serious misconduct is established;

d. The member is convicted of an offence involving moral turpitude, fraud, corruption or financial dishonesty, where such conduct materially affects the interests or reputation of the Foundation;

e. The member repeatedly violates Foundation policies despite written warnings.

22. Consequences of Termination

Upon termination:

- Membership shall stand cancelled.

- Membership Certificate shall become invalid.

- The person shall cease to represent the Foundation.

- The Foundation may require return of all identity cards, documents, badges and other Foundation property.

Termination shall not affect any legal proceedings or recovery of losses, if applicable.

CHAPTER X

APPEAL

23. Right to Appeal

A person whose membership is suspended or terminated may submit a written appeal to the Board of Directors within 30 days from the date of communication of the decision.

The Board shall consider the appeal and communicate its decision in writing.

The decision of the Board shall be final, subject to applicable law.

CHAPTER XI

MEMBERSHIP REGISTER

24. The Foundation shall maintain a Membership Register containing, wherever applicable:

o   Membership Number;

o   Name;

o   Address;

o   Mobile Number;

o   Email ID;

o   Membership Category;

o   Date of Admission;

o   Payment Details;

-       Status of Membership.
